Emergency services were called to the scene near Barmah about 4pm on Sunday, after a boat carrying five people reportedly hit a submerged tree and overturned.
Two children, a woman and a man were rescued from the water, but another woman could not be found.
A search began and the 40-year-old Sunbury woman's body was found about 5.15pm.
A report will be prepared for the coroner.
