The 55-year-old Maldon man was found unconscious near his bicycle on Fogartys Gap Road by a passing motorist about 11.20pm.
Emergency services were called to the scene and the man was flown to hospital in a critical condition.
He died on February 5.
Police are yet to determine the circumstances of the crash.
Investigators are appealing for anyone who may have witnessed the crash, or have dashcam footage, for any information that could help in their inquiries.
The rider was found on the same section of Fogartys Gap Road where a motorist was killed in a single-car crash just before Christmas last year.
It is 14 months since the cyclist Michael Grinter was struck and killed by a car in a separate crash on the road.
The driver was jailed for three years after pleading guilty to causing the crash.
The death brings the number of lives lost on Victorian roads to 28 this year.
